Terms of Service

1. Acceptance of Terms

By accessing or using DirayahAI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including businesses and individuals who register for an account.

2. Description of Service

DirayahAI is a multi-tenant SaaS platform that allows businesses to upload documents and deploy AI-powered chatbots trained on their content. The Service is provided on a subscription basis with a free tier and paid plans.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at contact@dirayahai.com of any unauthorised use.

4. Acceptable Use

You agree not to use the Service to upload, store, or process content that is unlawful, harmful, defamatory, or infringes on the intellectual property rights of others. You must not use the Service to distribute misinformation, engage in fraudulent activity, or circumvent security controls. We reserve the right to suspend or terminate accounts that violate this policy without notice.

5. Subscription and Billing

Paid plans are billed through Dodo Payments, who acts as the Merchant of Record for all transactions. All payments are subject to Dodo Payments' terms and conditions. Your subscription renews automatically unless cancelled before the renewal date. Prices are listed in USD and may exclude applicable local taxes, which will be calculated and added at checkout where required by law.

5a. Pricing Changes

We reserve the right to change subscription pricing at any time. Existing subscribers will be notified by email at least 30 days before any price change takes effect. Price changes do not apply to your current billing cycle — they take effect at your next renewal after the notice period. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

6. Free Plan and Trial

The free Starter plan is available at no cost with no credit card required. It includes a 14-day trial period during which the platform provides AI processing at no charge. Once the trial period ends, continued use of AI features requires either adding your own API key or upgrading to a paid plan. No automatic charges occur on the free plan.

7. Intellectual Property

You retain full ownership of all content you upload to the Service. By uploading content, you grant DirayahAI a limited, non-exclusive licence to process and store that content solely for the purpose of providing the Service to you. This licence terminates when you delete the content or close your account. DirayahAI retains all rights to the platform, software, and underlying technology.

8. Limitation of Liability

To the maximum extent permitted by law, DirayahAI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or business interruption. Our total liability to you shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, for violations of these terms. You may cancel your account at any time from the subscription page. Upon termination, your data will be retained for 30 days before permanent deletion.

10. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms. We will notify registered users by email of any material changes at least 7 days before they take effect.

11. Governing Law

These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the UAE.

12. Refund Policy

If you are unsatisfied with the Service, you may request a refund by contacting us at contact@dirayahai.com within 7 days of your first charge. Refund requests are reviewed on a case-by-case basis. Refunds are not available for partial subscription periods, usage already consumed, or requests made more than 7 days after the billing date. All approved refunds are processed through our payment processor and may take 5–10 business days to appear.

13. AI-Generated Content

The chatbot responses generated by DirayahAI are based solely on the content uploaded by the account holder. DirayahAI does not verify the accuracy, completeness, or legality of uploaded documents or the responses generated from them. AI-generated responses must not be relied upon as professional legal, medical, financial, regulatory, or safety advice. The account holder is solely responsible for the content they upload, the configuration of their chatbot, and the deployment of the chatbot to end users. DirayahAI accepts no liability for decisions made based on AI-generated output.

14. Data Processing and Sub-processors

To deliver the Service, document content is transmitted to third-party AI providers including OpenAI and Anthropic solely for the purpose of generating chatbot responses. These providers operate under their own data processing agreements and privacy policies. DirayahAI does not permit these providers to use your content for model training purposes.
